On 22 July 2026 the Reserve Bank of India (RBI) released draft Foreign Exchange Management (Foreign Investment) Rules 2026, aiming to replace the existing Non-Debt Instruments (NDI) framework and modernise how overseas funds—including those from Non-Resident Indians (NRIs) and Overseas Citizens of India (OCIs)—flow into Indian enterprises. Stakeholder comments are invited until 31 August. The draft pivots to a principle-based regime that is “investor-neutral and investee-neutral”, simplifies definitions and aligns procedural FEMA provisions with the FDI Policy. Most relevant for mobility planners: NRIs and OCIs will find it easier to invest in pension schemes and unlisted equity because the RBI proposes harmonised ownership thresholds and clearer repatriation rules. Another headline feature is the explicit roadmap for direct listing of Indian companies on international stock exchanges—a long-awaited move that could let expatriate employees participate in ESOPs listed in New York or Singapore without complex Liberalised Remittance Scheme work-arounds. Compliance relief is also on offer: a single “Connect 2 Regulate” portal will replace multiple email-based filings for share transfers, pledges and gift transactions. The draft permits digital signatures and auto-acknowledgement receipts—welcome news for assignees who currently courier notarised documents from abroad. Multinationals with India-bound assignees should review stock-option plans, share-swap clauses and intra-group investment structures against the proposed rules and file representations before the August deadline. Final rules are expected before the festive season budget session, giving HR and finance teams a narrow window to adjust cross-border remuneration packages.
